Vablus terms of service

1. Who we are and what Vablus is

These terms are between [COVORN legal name], RC [RC number], of [registered address] ("Covorn", "we") and the business that uses Vablus ("you"). By creating a business on Vablus, or using it, you accept them.

1. Vablus is software that helps a business sell on WhatsApp, Instagram, Messenger, its website chat and its shop page: an assistant that answers customers, orders, payment links, receipts, delivery, follow-ups and reports.
2. Vablus is part of the COVORN Business Suite. Your COVORN account signs you in to it.
3. Payments are made through Paystack, either your own Paystack account or Receivly. Receivly has its own terms, which you accept before using it.

2. Your account and your team

1. Give true details about your business and keep them up to date.
2. You decide who on your team can use Vablus and what each person can do. You are responsible for what they do in it.
3. Keep your sign-in private. Tell us at once if you think someone else has used it.

3. Plans and billing

1. Vablus is paid for through the COVORN Business Suite. A new business may start with a free trial; the Business Suite shows how long it lasts.
2. Plans are paid ahead, by quarter, half year or year, at the prices shown in the Business Suite when you pay. We give at least 30 days' notice before a price change, and it applies from your next renewal.
3. If a renewal is not paid, Vablus gives a short grace period and then stops new work until it is paid. Your records are kept.
4. Fees for a period already paid are not refunded when you stop, unless the law requires it. You keep access until the end of that period.

4. The assistant

1. The assistant answers your customers from the products, prices, delivery options and notes you give it. Keep them correct: what it tells customers is said on your behalf.
2. It can be wrong. You can read every conversation, step in at any time, and pass a chat to a person. Check orders and payments before you send goods.
3. Let your customers know they may be talking to an automated assistant.
4. We use AI providers to run it. They process the messages only to give the answer, under their business terms.

5. WhatsApp, Instagram, Messenger and your customers

1. You must follow the WhatsApp Business, Instagram and Messenger rules, and the laws on marketing messages.
2. Message only people who contacted you or agreed to hear from you. When a customer replies STOP, Vablus stops follow-ups to them; do not message them for marketing again unless they ask.
3. Meta can limit or close a number or page. We are not responsible for Meta's decisions.

6. What you sell and how

1. Sell only goods and services you have the right to sell, describe them honestly, and deliver what was paid for.
2. Show your own refund and returns rules on your shop page. They may not take away what our refund policy promises customers.
3. You may not use Vablus for anything illegal in Nigeria or restricted by Paystack, including weapons, drugs, counterfeit goods, gambling, adult content, cryptocurrency trading, money transfer services and investment schemes.
4. You are responsible for the tax on your sales.

7. Your data and your customers' data

1. Your business's records stay yours. When you ask, we give you a copy and delete them, except what the law makes us keep.
2. For your customers' details you are in charge, and we process them for you to run Vablus. Use them only to serve those customers.
3. We share what is needed with Paystack, Meta and our hosting and AI providers to run the service, and nothing is sold.

8. Pausing and ending

1. You can stop using Vablus at any time.
2. We may pause or end your use, with notice where we can, if you break these terms, if we reasonably suspect fraud, if customers are harmed, or if Paystack, Meta or a regulator requires it. Vablus shows you the reason.
3. We may take a shop off Vablus Market, or remove the Verified by Covorn badge, when the checks for it are no longer met.

9. Liability

1. Vablus is provided as it is. It depends on Meta, Paystack, AI providers and the internet, and we are not liable for their failures.
2. To the extent the law allows, our total liability to you in any 12 months is limited to what you paid us for Vablus in that period.
3. You are responsible for your goods, your prices and your dealings with your customers.

10. Changes and law

1. We may change these terms with 30 days' notice in Vablus or by email.
2. These terms are governed by the laws of the Federal Republic of Nigeria. Disputes go to [the courts of Delta State, Nigeria]. Contact: [support email].
